The Certified PEO program was created by Congress in 2014 and implemented by the IRS in 2017. It exists to solve a specific problem: before CPEOs existed, if a PEO collected your payroll taxes and failed to remit them, the IRS could still pursue you for the same dollars.
What CPEO status changes
- Sole liability — the IRS holds only the CPEO responsible for federal employment taxes on covered wages
- Wage base continuity — when you join a CPEO mid-year, FICA and FUTA wage bases carry over (no restart)
- Federal tax credit pass-through — certain credits (R&D, WOTC) flow cleanly through the CPEO to the client
- Annual financial audit and quarterly bond — required by the IRS
What CPEO status does not change
- State unemployment tax treatment (varies by state, regardless of CPEO status)
- Service quality, benefits portfolio, or pricing
- Worksite employment liability under Title VII or state wage laws
Who should require CPEO
Smaller employers without dedicated tax counsel benefit most. The liability-shift is a meaningful risk reduction. Larger employers with mature finance teams may weigh CPEO status as one factor among many — service depth, carrier choice, and exit terms often matter more.
